These Terms and Conditions govern the relationship between Helium Production Pvt. Ltd. (referred to as “Helium Production,” “we,” “us,” or “our”) and our clients (referred to as “client,” “you,” or “your”) engaging in digital photography and advertising services. By entering into a contract or engaging with our services, you acknowledge and agree to these terms.

1. Service Engagement:

a. Scope of Services:

• Helium Production agrees to provide digital photography and advertising services as specified in the agreed-upon proposal or contract.

b. Modification of Services:

• Changes to the scope of services must be agreed upon in writing by both parties. Additional charges may apply for expanded services.

2. Client Responsibilities:

a. Providing Necessary Information:

• Clients are responsible for providing accurate and necessary information, including project details, specifications, and access to required resources.

b. Timely Feedback:

• Clients agree to provide timely feedback during the project timeline to ensure smooth progress.

3. Project Delivery:

a. Timelines:

• Helium Production is committed to delivering projects within agreed-upon timelines. Delays caused by unforeseen circumstances will be communicated promptly.

b. Acceptance:

• Clients are responsible for reviewing and accepting the final deliverables promptly. Failure to communicate acceptance within an specified timeframe will be considered tacit acceptance.

4. Payment Terms:

a. Invoicing:

• Invoices will be issued according to the payment schedule outlined in the proposal or contract.

b. Late Payments:

• Late payments may incur interest charges. Helium Production reserves the right to suspend services until outstanding payments are received.

5. Intellectual Property:

a. Client Materials:

• Clients retain ownership of materials provided to Helium Production. Clients grant Helium Production the right to use, modify, and reproduce these materials for the purpose of fulfilling the contracted services.

b. Deliverables:

• Upon receipt of full payment, clients will receive ownership and full rights to use the final deliverables produced by Helium Production for the agreed-upon purposes.

6. Confidentiality:

a. Non-Disclosure:

• Helium Production agrees to keep all client information confidential and not disclose it to third parties without the client’s consent.

7. Termination:

a. Termination by Client:

• Clients may terminate services by providing written notice. Termination fees may apply, depending on the project’s progress.

b. Termination by Helium Production:

• Helium Production reserves the right to terminate services for non-payment or if the client breaches the terms outlined in this agreement.

8. Force Majeure:

a. Unforeseen Circumstances:

• Helium Production is not liable for delays or failure to perform due to circumstances beyond our control, including but not limited to acts of nature, government actions, or technical failures.

9. Governing Law:

a. Jurisdiction:

• These Terms and Conditions are governed by the laws of Jurisdiction. Any disputes shall be resolved through arbitration in accordance with Arbitration Rules.
